How to handle the acquisition of Foran Mining Corporation (TSX: FOM) by Eldorado Gold Corporation (TSX: ELD / NYSE: EGO)
Summary
On 1 February 2026, Eldorado Gold Corporation (TSX: ELD / NYSE: EGO) and Foran Mining Corporation (TSX: FOM) entered into an arrangement agreement under which Eldorado would acquire all of Foran's issued and outstanding common shares by way of a court-approved plan of arrangement. The parties signed an amending agreement on 4 March 2026, shareholders approved the deal at special meetings on 7 April 2026, and the acquisition completed on 14 April 2026.

The combination brings together two fully financed, development-stage mining projects — Eldorado's Skouries project in Greece and Foran's McIlvenna Bay copper-zinc-gold-silver project in Saskatchewan — both on schedule for mid-2026 commercial production. The combined group is a Canadian gold-copper producer with an estimated market value of around C$15 billion, headquartered in Vancouver, with operations across Canada, Greece and Türkiye.
Following completion, Foran became a wholly-owned subsidiary of Eldorado. Foran shares were delisted from the TSX and OTCQX, and Foran ceased to be a reporting issuer under Canadian securities laws.
This corporate action applies to holdings tracked on either the US or Canadian market in Sharesight.

This is likely a taxable event, though the share-for-share component may be eligible for rollover relief depending on your tax residency and the applicable tax rules. Because part of the consideration is cash (C$0.01 per share, plus any cash-in-lieu of fractional shares), this portion is generally treated as capital proceeds regardless of rollover eligibility on the scrip component.

How to handle this in Sharesight
This corporate action has up to three parts, depending on your holding: a small cash payment, a possible cash-in-lieu payment for fractional shares, and the share merger itself.

Step 2 — Record the sell trade for fractional shares
Because the exchange ratio (0.1128) rarely converts a whole-number Foran holding into a whole number of Eldorado shares, Foran shareholders may have received whole Eldorado shares plus a cash-in-lieu payment for the leftover fraction. If you did not receive a cash payment for a fractional unit, skip this step.

2 - Select Enter a new trade or adjustment
3 - Trade type: Sell
4 - Quantity: the fractional Foran share amount deemed sold (calculate as the cash-in-lieu payment received ÷ 0.1128, converted back into Foran units)
5 - Trade date: 14 April 2026
6 - Price: Sharesight records a unit price, not a total amount. Divide the total cash-in-lieu amount received by the Quantity entered above, so that Quantity × Price equals the actual cash amount received.
7 - Select Save trade
Step 3 — Merge the remaining Foran holding into Eldorado
1 – On the Overview page, select your remaining FOM.TSE holding
2 - Select Edit holding tab
3 - Select Merge this holding
4 - Date of Merger: 14 April 2026
5 - New holding: Search: ELD.TSE (if you track Eldorado on the TSX) or EGO.NYSE (if you track Eldorado on the NYSE) — use whichever market you prefer to hold Eldorado in Sharesight
6 - Quantity: 0.1128 new Eldorado shares for every remaining FOM share
7 - Select Save changes
