Tax implications
For U.S. federal income tax purposes, the distribution is intended to qualify as a tax-free spinoff under Section 355 of the Internal Revenue Code, so no gain or loss is generally recognised on receipt of the MBGL shares. Any cash received in lieu of fractional shares is generally a taxable gain or loss.
Your original SPGI cost base is split between your SPGI and MBGL shares. According to S&P Global's IRS Form 8937, based on the volume-weighted average prices on 1 July 2026 (SPGI US$414.44 and MBGL US$21.08), 95.16% of your cost base should be allocated to SPGI and 4.84% to MBGL. If you acquired SPGI shares in different parcels, the allocation applies to each parcel.
The treatment above applies to U.S. federal income tax only. If you are a non-U.S. investor (e.g. in Australia, New Zealand, Canada or the UK), the tax treatment in your country may differ, so we recommend checking with your accountant or tax advisor.

FAQ
What is the Mobility Global spinoff?
The Board of Directors of S&P Global approved the separation of its Mobility division and the creation of an independent, public company, Mobility Global Inc. The distribution of Mobility Global shares was effective at 12:01 a.m. New York City time on 1 July 2026, and Mobility Global began trading on the NYSE under the ticker "MBGL" the same day.
What do I receive for my shares?
You receive 1 Mobility Global (MBGL) share for every 1 S&P Global (SPGI) share you held at the close of business on the record date (15 June 2026). You keep all of your existing SPGI shares.
Do I need to take any action?
No action is required to receive your Mobility Global shares. Shares are issued electronically in book-entry form or credited to your brokerage account. However, you will need to record the cost base adjustment and the new MBGL holding in Sharesight as outlined above.
What happens to fractional shares?
Fractional MBGL shares were aggregated and sold on the open market, and the cash proceeds were paid to the shareholders entitled to them. You can record any cash received for fractional shares as a sale of the fractional MBGL quantity in Sharesight.
What is the cost base allocation ratio?
According to the IRS Form 8937, 95.16% of your original SPGI cost base is allocated to S&P Global (SPGI) and 4.84% to Mobility Global (MBGL). For example, 10 SPGI shares with a total cost base of US$2,000 would be allocated US$1,903.20 to SPGI and US$96.80 to MBGL.
Why did the SPGI share price drop on 1 July 2026?
The SPGI share price after the distribution is expected to be lower because it no longer reflects the value of the Mobility business, which now trades separately as MBGL.
Is this a taxable event?
For U.S. federal income tax purposes, the spinoff is intended to be tax-free, except for cash received in lieu of fractional shares. Tax treatment in other countries may differ. You can use Sharesight's Capital Gains Tax report to help calculate any capital gains when you later sell your shares.
Will Sharesight track my cost base?
Yes. Once you record the cost base adjustment and the MBGL opening balance, Sharesight will track the cost base of both holdings. You can view this in the Historical Cost report. If you don't have a Sharesight account yet, you can sign up for free.
How does this affect my portfolio diversification?
After the spinoff, you hold two separate companies instead of one. You can use Sharesight's Diversity report to see how the new MBGL holding affects your portfolio's allocation by market, sector and industry.
Where can I find the official announcement and details?
You can find more details in S&P Global's Mobility Global investor relations page, the IRS Form 8937, and our general guide on how to record a demerger or spinoff in Sharesight.
The guide above is a suggestion on how to handle the corporate action in Sharesight and is not financial or tax advice. We advise you to consult your financial advisor or accountant. We also encourage you to review the official documents for full details.
