How to handle the acquisition of Foran Mining Corporation (TSX: FOM) by Eldorado Gold Corporation (TSX: ELD / NYSE: EGO)
Summary
On 1 February 2026, Eldorado Gold Corporation (TSX: ELD / NYSE: EGO) and Foran Mining Corporation (TSX: FOM) entered into an arrangement agreement under which Eldorado would acquire all of Foran's issued and outstanding common shares by way of a court-approved plan of arrangement. The parties signed an amending agreement on 4 March 2026, shareholders approved the deal at special meetings on 7 April 2026, and the acquisition completed on 14 April 2026.

The combination brings together two fully financed, development-stage mining projects — Eldorado's Skouries project in Greece and Foran's McIlvenna Bay copper-zinc-gold-silver project in Saskatchewan — both on schedule for mid-2026 commercial production. The combined group is a Canadian gold-copper producer with an estimated market value of around C$15 billion, headquartered in Vancouver, with operations across Canada, Greece and Türkiye.
Following completion, Foran became a wholly-owned subsidiary of Eldorado. Foran shares were delisted from the TSX and OTCQX, and Foran ceased to be a reporting issuer under Canadian securities laws.
