Tax implications
Capital Gains
Working out your net capital gain or net capital loss for the 2027 income year
According to the ATO Class Ruling CR 2026/60, CGT event A1 happened when you disposed of your Qoria shares to Aura on the Implementation Date (17 July 2026). The capital proceeds for each Qoria share is the market value of the Aura CDIs you received for it, worked out on the Implementation Date.
Scrip for scrip rollover relief
QOR shareholders who make a capital gain on their QOR shares may be eligible to choose scrip for scrip rollover relief. This means they can defer paying capital gains tax on the disposal of their QOR shares when they receive AXQ CDIs in exchange.
- If you choose rollover: the capital gain is disregarded. The cost base of each Aura CDI is worked out by attributing the cost base of the Qoria shares it was exchanged for (e.g. total QOR cost base divided by the number of AXQ CDIs received), and your AXQ CDIs are treated as acquired on the original date you acquired your QOR shares (for CGT discount purposes).
- If you don't (or can't) choose rollover: you must include the capital gain or loss in the income year the Scheme was implemented. The cost base of your AXQ CDIs is the market value of the Qoria shares you gave up on 17 July 2026, and the acquisition date is 17 July 2026.
Foreign resident shareholders generally disregard any capital gain or loss unless their Qoria shares were taxable Australian property.
To work out your net capital gain or net capital loss for the year, you must take into account:
- any other capital gains or capital losses you made in the income year from other transactions
- any net capital losses carried forward from earlier income years
- whether you can apply the CGT discount to any part of your net capital gain (you must have held your QOR shares for at least 12 months before the Implementation Date)
How to handle this in Sharesight
1 – On the Overview page, select QOR.ASX
2 - Select Edit holding tab
3 - Select Merge this holding
4 - Date of Merger: 17 July 2026
5 - New holding: Search: AXQ.ASX
6 - Quantity: 1 new AXQ CDI for approximately every 17.32 QOR shares (rounded to the nearest whole number)
For example, 10,000 QOR shares gets 577 AXQ CDIs (10,000 ÷ 17.32 = 577.37, rounded down to 577).
We recommend checking the exact number of AXQ CDIs on your holding statement from Computershare or your broker.
7 - Select Save changes
Your original QOR cost base and purchase dates carry over to your AXQ.ASX holding, in line with scrip for scrip rollover relief.
FAQ
What happens to my shares after the acquisition?
After the Scheme was implemented on 17 July 2026, all Qoria shares were transferred to Aura. Eligible Qoria shareholders received 1 Aura CDI for approximately every 17.32 Qoria shares held on the Scheme record date (10 July 2026). Qoria was removed from the official list of the ASX at the close of trading on 20 July 2026.
Do I need to take any action?
Your QOR shares were replaced with Aura CDIs, traded under AXQ.ASX. You typically don't need to take any action, as your broker or the share registry handles the share swap automatically. However, you will need to record the merger in Sharesight as outlined above.
What do I receive for my shares?
Unless you are an Ineligible Foreign Shareholder or an Unmarketable Parcel Shareholder, you received 1 Aura CDI for approximately every 17.32 Qoria shares held as at the Scheme record date.
If you are an Ineligible Foreign Shareholder (generally, a registered address outside Australia, New Zealand and the United States) or would have received less than a marketable parcel of Aura CDIs (less than $500 worth) and did not opt out, the Aura CDIs you would have received were issued to a Sale Agent and sold on the ASX, and your share of the net sale proceeds was paid to you. In this case, you can record a sale of your QOR shares in Sharesight using the cash amount you received instead of merging the holding.
What is an Aura CDI (AXQ)?
Aura is a company incorporated in the United States. Each AXQ CDI represents a beneficial interest in one Aura share, allowing Australian investors to hold and trade Aura on the ASX in Australian dollars.
Is this acquisition a taxable event?
This acquisition is a CGT event. However, you may be eligible for scrip for scrip rollover relief if you make a capital gain on your QOR shares, as confirmed in the ATO Class Ruling CR 2026/60. Consult with a tax professional for personalised advice.
You can calculate your estimated tax liability using our CGT calculator. If you have more than one trade, you can add them in Sharesight and run the CGT report to calculate your tax liability.
Will Sharesight track my cost base if I choose rollover relief?
Yes, Sharesight accurately tracks your cost base. You can find your cost base information in the Historical Cost report.
If you don't have a Sharesight account, sign up here for free, enter the date you bought QOR, then follow the steps above to keep track of the cost base.
How does this acquisition affect my portfolio concentration risk?
Your exposure changes from an Australian-domiciled company to a US-incorporated company listed on the ASX. You can find out your portfolio diversification using the Diversity report.
Where can I find the official announcement and details?
You can find more details in the ASX announcement on the merger of Aura and Qoria and the ATO Class Ruling CR 2026/60.
